Terms of Use – Mock Platform

These Terms of Use ("Terms") govern access to and use of the Mock platform (the "Platform"), operated by Mock Studio, a French Société par Actions Simplifiée (SAS) ("Mock Studio", "we", "us", or "our").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

  • Mock: The software platform, tools, services, and interfaces provided under the name "Mock".
  • Mocka (the node graph system): The visual creation system provided by Mock allowing users to design logic, behaviors, or digital content.
  • User: Any individual or legal entity using the Platform.
  • Creation: Any content, logic, asset, configuration, script, or output created by a User, whether via the Mocka (the node graph system) or by uploading external resources.
  • Marketplace: The integrated platform feature allowing Users to share or distribute Creations to other Users.
  • Coins: A virtual, non-monetary currency used within the Platform.
  • Server Credits: A virtual unit used exclusively to rent or operate servers and server-related services within the Platform.
  • AI Points: A virtual unit used exclusively to access AI-powered services within the Platform.

2. Eligibility and Account

2.1 Age Requirement

You must be at least 13 years old to use the Platform.

If you are between 13 and 18 years old (or the age of majority in your country of residence), you represent that you have obtained permission from a parent or legal guardian to use the Platform.

Mock Studio may request proof of such consent at any time and reserves the right to suspend or terminate accounts that do not meet this requirement.

2.2 Account Creation and Accuracy

When creating an account, you agree to:

  • Provide accurate, current, and complete information;
  • Update your information promptly if it changes;
  • Maintain only one account per individual or entity unless expressly authorized;
  • Not create an account using false information or on behalf of someone else without authorization.

Mock Studio reserves the right to verify account information and may suspend or terminate accounts that provide false, inaccurate, or misleading information.

2.3 Account Security

You are responsible for:

  • Maintaining the confidentiality and security of your account credentials;
  • All activities performed under your account, whether authorized or unauthorized;
  • Notifying Mock Studio immediately of any unauthorized access or security breach.

Mock Studio is not liable for any loss or damage resulting from your failure to maintain account security.

2.4 Account Transfer

Accounts are personal and non-transferable. You may not:

  • Sell, transfer, or assign your account to another person or entity;
  • Share your account credentials with others;
  • Allow others to access your account except as expressly permitted by the Platform.

3. License to Use the Platform

3.1 Grant of License

Mock Studio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms.

This license permits you to:

  • Access and use Platform features and services;
  • Create, modify, and manage your Creations;
  • Participate in the Marketplace as a creator or buyer;
  • Use Platform tools and resources for their intended purposes.

3.2 License Restrictions

You agree not to:

  • Use the Platform for unlawful purposes or in violation of any applicable laws;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;
  • Copy, modify, distribute, or create derivative works of the Platform except as permitted by law;
  • Circumvent, disable, or interfere with security features or technical protection measures;
  • Use automated systems (bots, scrapers, etc.) to access the Platform without express permission;
  • Attempt to gain unauthorized access to any part of the Platform, user accounts, or systems;
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Platform.

3.3 License Termination

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of these Terms. Mock Studio may also terminate or suspend your license at any time for any reason, with or without notice.

4. Ownership of Creations (Mocka)

4.1 User Ownership

All Creations produced by a User using the Mocka (the node graph system) remain the exclusive property of that User.

Mock Studio does not claim ownership over such Creations.

You are free to:

  • Use your Creations for personal, commercial, or professional purposes;
  • Export, modify, or distribute your Creations outside of the Platform, subject to applicable laws and third‑party rights.

4.2 Limited License for Marketplace Distribution

If you choose to share a Creation on the Marketplace, you grant Mock Studio a non-exclusive, worldwide license solely for the purpose of:

  • Hosting;
  • Displaying;
  • Distributing the Creation to other Users via the Marketplace;
  • Enabling technical access and delivery to end users.

This license is granted in exchange for Marketplace distribution services and is subject to the applicable Marketplace fees or commissions.

This license is strictly limited to Marketplace operations and does not transfer ownership to Mock Studio.

5. External AI Services and Live Generation

5.1 AI Integration

Mock may integrate with external Artificial Intelligence (AI) service providers to offer live generation, assistance, or enhancement features within the Platform.

These features may include, but are not limited to:

  • Content generation and suggestions;
  • Code completion and optimization;
  • Asset creation and modification;
  • Natural language processing and analysis.

5.2 Data Processing and Privacy

When you use AI-powered features:

  • Data from your active Creation may be transmitted to external AI service providers;
  • Such data is processed only for real-time generation and immediate delivery of results;
  • Transmitted data is not used by Mock Studio to train AI models or for any purpose beyond providing the requested service;
  • Mock Studio does not retain this data beyond what is technically required for the live request;
  • External AI providers may have their own data processing practices; you are encouraged to review their privacy policies.

5.3 User Control and Consent

You retain full control over AI feature usage:

  • You may enable or disable AI data transmission at any time through Platform settings;
  • Disabling AI features will prevent data transmission to external AI services;
  • Disabling AI features will also prevent access to AI-powered services and functionalities;
  • By using AI features, you consent to the data processing described in this section.

5.4 No Guarantees

Mock Studio makes no warranties regarding:

  • The accuracy, completeness, or quality of AI-generated content;
  • The availability or reliability of external AI services;
  • The suitability of AI-generated content for any particular purpose.

You are solely responsible for reviewing, validating, and using AI-generated content appropriately.

6. Marketplace – External Creations

Creations shared on the Marketplace that were not created using the Mocka (the node graph system) remain the sole property of the User or rights holder who uploaded them.

By uploading such a Creation, you grant Mock Studio a non-exclusive, worldwide license to:

  • Host;
  • Display;
  • Distribute the Creation to other Users under the conditions you specify (including price).

Mock Studio does not acquire any ownership rights over these Creations.

You represent and warrant that you own or have the necessary rights to distribute any content you upload.

6.1 Rights Granted to Buyers

When a User purchases or otherwise acquires a Creation from the Marketplace, they are granted the right to:

  • Access and use the Creation;
  • Modify the Creation for personal or professional use;
  • Integrate the Creation into their own projects.

This right does not constitute a transfer of ownership or intellectual property rights.

6.2 Resale and Redistribution Restrictions

Users who acquire a Creation from the Marketplace are strictly prohibited from:

  • Reselling the Creation as-is;
  • Reselling the Creation with minor or superficial modifications;
  • Redistributing the Creation in any form that competes with the Marketplace.

Substantial, original transformations that result in a genuinely new Creation may be permitted, provided they do not infringe the original creator's rights.

6.3 Enforcement

Mock Studio reserves the right to:

  • Remove any Creation suspected of violating these resale restrictions;
  • Suspend or permanently ban User accounts in case of repeated or severe violations;
  • Take any additional action deemed necessary to protect creators and the integrity of the Marketplace.

7. Virtual Currencies

The Platform uses several virtual, non-monetary units (collectively, the "Virtual Currencies") that may be earned, purchased, or used exclusively within the Mock Platform.

Virtual Currencies are not legal tender, have no cash value, and cannot be exchanged for real-world currency.

7.1 Coins

Coins are a virtual currency primarily used within the Platform to:

  • Purchase content on the Marketplace;
  • Convert into other Virtual Currencies offered by the Platform.

Coins:

  • Have no cash value;
  • Are non-refundable;
  • Cannot be exchanged into real-world currency.

7.2 Server Credits

Server Credits are a virtual unit used exclusively to:

  • Rent servers;
  • Access server hosting, execution, or infrastructure-related services provided by the Platform.

Server Credits:

  • Have no cash value;
  • Are non-refundable;
  • Cannot be converted into real-world currency or Coins.

7.3 AI Points

AI Points are a virtual unit used exclusively to:

  • Access AI-powered features and services available on the Platform.

AI Points:

  • Have no cash value;
  • Are non-refundable;
  • Cannot be converted into real-world currency or Coins.

7.4 Conversion Rules

  • Coins may be converted into Server Credits and/or AI Points;
  • Conversions are one-way and irreversible;
  • Conversion rates, availability, and applicable conditions are determined by Mock Studio and may change over time.

7.5 General Conditions

Mock Studio reserves the right to:

  • Modify the rules governing Virtual Currencies;
  • Introduce limits, expiration periods, or usage conditions;
  • Suspend or adjust Virtual Currency balances in cases of fraud, abuse, or violation of these Terms.

8. Payments and Marketplace Transactions

8.1 Marketplace Fees

Marketplace transactions may be subject to fees or commissions retained by Mock Studio.

  • Fee percentages may vary depending on the type of Creation, distribution method, or Marketplace category;
  • Applicable fees are disclosed to Users prior to publication or purchase;
  • Fees are deducted automatically at the time of transaction.

8.2 Role of Mock Studio

Mock Studio acts as a technical and commercial intermediary facilitating Marketplace transactions between Users.

Mock Studio does not guarantee:

  • The quality;
  • The accuracy;
  • The legality of User-generated content.

8.3 Marketplace Moderation and Removal

Mock Studio reserves the right, at its sole discretion, to remove, suspend, or disable access to any Creation made available on the Marketplace if such Creation:

  • Violates applicable laws or regulations;
  • Infringes third-party rights, including intellectual property rights;
  • Violates these Terms, Marketplace rules, or any content guidelines established by Mock Studio;
  • Is deemed harmful, abusive, malicious, or inappropriate.

Such removal may occur without prior notice and does not affect the User's ownership of the Creation outside the Marketplace.

9. Prohibited Content and Conduct

9.1 General Prohibitions

You agree not to engage in any conduct or upload any content that:

  • Violates any applicable local, national, or international law or regulation;
  • Infringes intellectual property rights, including copyrights, trademarks, patents, or trade secrets;
  • Contains viruses, malware, or other harmful code;
  • Is fraudulent, false, misleading, or deceptive;
  • Is defamatory, obscene, pornographic, vulgar, or offensive;
  • Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;
  • Involves the exploitation or harm of minors;
  • Promotes violence, terrorism, or illegal activities;
  • Violates privacy or publicity rights of any person;
  • Contains unsolicited advertising, spam, or promotional materials;
  • Impersonates any person or entity or misrepresents your affiliation with any person or entity.

9.2 Platform Integrity

You may not:

  • Interfere with or disrupt the Platform, servers, or networks connected to the Platform;
  • Impose an unreasonable or disproportionately large load on Platform infrastructure;
  • Use the Platform to transmit or distribute harmful, disruptive, or malicious content;
  • Collect or harvest information about other Users without their consent;
  • Engage in any activity that could damage, disable, or impair Platform functionality.

9.3 Ban Evasion

Attempting to evade a suspension or ban by creating or using alternate accounts ("alt accounts"), using proxy services, VPNs to mask identity, or by any other means, is strictly prohibited.

Mock Studio reserves the right to:

  • Immediately suspend or terminate any related accounts;
  • Permanently ban Users found to be engaging in ban evasion;
  • Apply enforcement actions without prior notice;
  • Take legal action if deemed appropriate.

9.4 Reporting Violations

If you become aware of any content or conduct that violates these Terms, please report it to Mock Studio immediately. We reserve the right to investigate and take appropriate action, including content removal and account termination.

10. Suspension and Termination

10.1 Termination by Mock Studio

Mock Studio reserves the right to suspend or terminate your access to the Platform, in whole or in part, at any time and for any reason, including but not limited to:

  • Violation of these Terms or any applicable policies;
  • Engagement in fraudulent, abusive, or illegal activities;
  • Failure to pay applicable fees or charges;
  • Compromised account security;
  • Extended period of inactivity;
  • Regulatory or legal requirements;
  • At our sole discretion, with or without cause.

Termination may occur immediately and without prior notice, although we will generally attempt to provide advance notice when reasonably possible.

10.2 Termination by User

You may terminate your account at any time by:

  • Using the account deletion feature in Platform settings; or
  • Contacting Mock Studio support with a termination request.

Account termination requests are typically processed within a reasonable timeframe, subject to completion of any pending transactions or obligations.

10.3 Effects of Termination

Upon termination of your account:

  • Your access to the Platform and all associated services will cease immediately;
  • Your profile and account data may be deleted or anonymized;
  • Access to Marketplace content you have shared may be removed or restricted;
  • Your ownership of Creations remains unaffected - you retain all rights to your intellectual property;
  • Outstanding financial obligations remain due and payable;
  • Virtual Currencies (Coins, Server Credits, AI Points) associated with your account may be forfeited without refund;
  • Mock Studio may retain certain data as required by law or legitimate business purposes.

10.4 Survival

The following provisions survive termination: ownership rights, warranty disclaimers, indemnification obligations, limitations of liability, dispute resolution provisions, and any other terms that by their nature should survive.

11. Disclaimer of Warranties

11.1 "As Is" Provision

The Platform and all services, features, content, and materials provided through the Platform are offered on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied.

11.2 No Warranties

To the maximum extent permitted by applicable law, Mock Studio expressly disclaims all warranties, including but not limited to:

  • Merchantability: We make no warranty that the Platform is suitable for commercial purposes;
  • Fitness for a Particular Purpose: We do not warrant that the Platform will meet your specific requirements or expectations;
  • Non-Infringement: We do not guarantee that use of the Platform will not infringe third-party rights;
  • Accuracy and Reliability: We make no warranty regarding the accuracy, reliability, completeness, or timeliness of Platform content or services;
  • Uninterrupted or Error-Free Operation: We do not guarantee that the Platform will operate without interruption, delays, or errors;
  • Security: While we implement reasonable security measures, we cannot guarantee absolute security of data or transmissions;
  • Virus-Free: We do not warrant that the Platform or its content will be free from viruses, malware, or other harmful components.

11.3 Third-Party Content and Services

The Platform may contain or link to third-party content, services, or websites. Mock Studio:

  • Does not endorse, control, or assume responsibility for any third-party content or services;
  • Makes no warranties regarding the accuracy, legality, or quality of third-party materials;
  • Is not liable for any damages or losses resulting from your use of third-party content or services.

11.4 User-Generated Content

Mock Studio does not:

  • Pre-screen or approve all user-generated content;
  • Guarantee the accuracy, quality, or legality of Creations shared on the Marketplace;
  • Warrant that user-generated content will meet your expectations or requirements.

11.5 Beta Features and Updates

Certain Platform features may be designated as beta, experimental, or early access. These features:

  • May be incomplete, unstable, or subject to significant changes;
  • Are provided without any warranties or guarantees;
  • May be discontinued at any time without notice.

11.6 Jurisdictional Variations

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights under applicable consumer protection laws.

12. Limitation of Liability

12.1 Exclusion of Damages

To the maximum extent permitted by applicable law, Mock Studio, its affiliates, officers, directors, employees, agents, and licensors shall NOT be liable for any:

  • Indirect damages: Including but not limited to loss of profits, revenue, data, goodwill, or business opportunities;
  • Incidental damages: Arising from or related to your use or inability to use the Platform;
  • Consequential damages: Resulting from Platform use, even if advised of the possibility of such damages;
  • Special damages: Including any unique or particular losses specific to your circumstances;
  • Punitive or exemplary damages: Regardless of the legal theory or basis of the claim.

12.2 Types of Claims Covered

This limitation applies to claims based on:

  • Contract, tort (including negligence), strict liability, or any other legal theory;
  • Use or inability to use the Platform or any services;
  • Unauthorized access to or alteration of your data or transmissions;
  • Statements or conduct of any third party on the Platform;
  • Loss or corruption of data or content;
  • Service interruptions, suspensions, or terminations;
  • Defects, viruses, or other harmful components;
  • Any other matter relating to the Platform or these Terms.

12.3 Maximum Liability Cap

Notwithstanding anything to the contrary, Mock Studio's total aggregate liability to you for all claims arising from or relating to these Terms or the Platform shall not exceed the greater of:

  • €100 (one hundred euros); or
  • The total amount you have paid to Mock Studio in the twelve (12) months preceding the claim.

12.4 Essential Purpose

You acknowledge and agree that:

  • These limitations of liability are fundamental elements of the agreement between you and Mock Studio;
  • Mock Studio would not provide the Platform without these limitations;
  • These limitations apply even if any limited remedy fails of its essential purpose;
  • The limitations reflect a reasonable allocation of risk between the parties.

12.5 User Responsibility

You are solely responsible for:

  • Your use of the Platform and any consequences arising therefrom;
  • Any damages to your computer system or device;
  • Any loss of data resulting from Platform use;
  • Maintaining appropriate backups of your Creations and data;
  • Evaluating the accuracy, completeness, and usefulness of Platform content and services.

12.6 Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, or limitations on implied warranties. In such jurisdictions:

  • The above limitations may not apply to you;
  • You may have additional rights under applicable consumer protection laws;
  • Mock Studio's liability will be limited to the maximum extent permitted by law.

13. Changes to the Terms

13.1 Right to Modify

Mock Studio reserves the right to modify, amend, or update these Terms at any time, at our sole discretion, for any reason including but not limited to:

  • Changes in applicable laws or regulations;
  • Introduction of new features, services, or functionalities;
  • Security, safety, or operational improvements;
  • Clarification or correction of existing terms;
  • Changes in business practices or policies.

13.2 Notification of Changes

When we make changes to these Terms:

  • We will update the "Last updated" date at the top of this document;
  • For material changes, we will make reasonable efforts to notify you through one or more of the following methods:
    • Email notification to your registered email address;
    • In-app notification or message;
    • Prominent notice on the Platform homepage or dashboard;
    • Pop-up or banner notification upon login.
  • For minor or non-material changes, the updated Terms will be posted without additional notice.

13.3 Effective Date

Changes to these Terms become effective:

  • Immediately upon posting for minor changes and clarifications;
  • 30 days after notification for material changes affecting your rights or obligations;
  • On the date specified in the notification, if we provide advance notice of a specific effective date.

13.4 Acceptance of Changes

By continuing to access or use the Platform after the effective date of any changes:

  • You acknowledge that you have read, understood, and agree to the updated Terms;
  • You accept and consent to be bound by the modified Terms;
  • The updated Terms supersede all previous versions.

13.5 Objection to Changes

If you do not agree to any changes:

  • You must discontinue use of the Platform;
  • You may close your account before the changes take effect;
  • Continued use after the effective date constitutes acceptance of the changes;
  • Your sole remedy is to terminate your account as described in Section 10.2.

13.6 Review Responsibility

You are responsible for:

  • Regularly reviewing these Terms for updates and changes;
  • Checking the "Last updated" date periodically;
  • Reading any notifications we send regarding Term modifications;
  • Ensuring your contact information is current so you receive important notices.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

14.2 Jurisdiction and Venue

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall fall under the exclusive jurisdiction of the competent courts of Paris, France.

You irrevocably consent to the jurisdiction of such courts and waive any objection to the laying of venue in such courts based on inconvenient forum or any other grounds.

14.3 Dispute Resolution Process

Before initiating formal legal proceedings, the parties agree to:

  • Attempt informal resolution: Contact Mock Studio support to resolve the dispute amicably;
  • Good faith negotiations: Engage in good faith discussions for a period of at least 30 days;
  • Documentation: Provide clear description of the dispute and desired resolution.

14.4 Exceptions

Nothing in this section shall prevent either party from:

  • Seeking injunctive or equitable relief in court to prevent irreparable harm;
  • Protecting intellectual property rights through appropriate legal channels;
  • Complying with legal obligations or responding to legal process;
  • Exercising rights under applicable consumer protection laws.

14.5 Waiver of Class Actions

To the maximum extent permitted by law:

  • Any dispute must be brought in an individual capacity;
  • You waive the right to participate in class actions, collective actions, or representative proceedings;
  • Claims may not be consolidated with claims of other users without consent of all parties.

14.6 Language

These Terms are drafted in English and may be translated into other languages for convenience. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail.
